Agreement to Arbitrate

You and we agree to resolve any disputes between us through binding and final arbitration instead of through court proceedings. You acknowledge and agree that you are waiving the right to sue in court, have a jury trial, or participate in a class action.

  • The arbitration agreement is governed by the Federal Arbitration Act.
  • The arbitration shall take place in Vancouver, Washington, unless agreed otherwise.
  • The arbitration will be conducted by the American Arbitration Association under its then-current rules.


Exceptions to Arbitration

General Legal Provisions

  • Entire Agreement: These Terms, the Privacy Policy, and any signed Photography Services Agreement constitute the entire agreement between you and the company. In the event of a conflict, the terms of the Signed Agreement prevail.
  • Waiver and Severability: The failure to enforce any right or provision of these Terms is not a waiver of that right. If any provision is found invalid or unenforceable, the remaining provisions remain in effect.
  • Assignment: You may not transfer or assign these Terms without the company's prior written consent, but Anthony Ryan Photography LLC may assign them without restriction.
  • Termination: The company reserves the right to refuse service or terminate your access immediately, without prior notice or liability, for any reason, including if you breach the Terms.
  • Force Majeure: Anthony Ryan Photography LLC is not liable for delays or failure to perform resulting from causes outside its reasonable control, such as acts of God, war, pandemics, or government actions.
